Is there a real company here? -Yes, the company is registered in UK with the name Norwegian Holdings Ltd, company number 13505223. Each 10 token is legally tied to 1 share in the company. There is total 1 million B shares in the company, connected to 10 million OsloFjordMarina tokens. Why a UK company for a Norwegian real estate development? -Shares in Norwegian companies can not legally be tokenised. Owning shares in a Norwegian company will require that each token/shareholder must register at different Norwegian government agencies, and each time a token/share changes ownership this demands lots of paperwork. -In the UK tokenizing shares are legal. In february 2023 the UK Jurisdiction Taskforce (UKJT) published a legal statement on the feasibility of UK companies issuing “digital securities”. This is legally binding for the UK government. Hence shares in Norwegian Holdings Ltd are lawfully tokenized into the OsloFjordMarina token. -In Norway we have our Norwegian Private Limited company. This company owns the land, this company takes out the credits in banks, signs construction contracts, sell the apartments and all that is done. Norwegian Holdings Ltd owns total 10% of the Norwegian development company. So when dividends are paid out to shareholders, Norwegian Holdings Ltd receives 10% of the profit. Then Norwegian Holdings pays out these money to its shareholders - the people who owns OsloFjordMarina Token. How do i get my dividends when the project is finished? -Our team of lawyers must do the following procedure when the project ends and money will be paid out: 1) You will be registered into the shareholders register the "old way". This means you must identify yourself. 2) You will get a contract from our lawyers, where you return the tokens to their wallet in exchange for dividends. Our lawyers will act as the guarantor for paying you. 3) The tokens you return will never again be in circulation. You will however still own your shares in Norwegian Holdings Ltd but this company will at this time pay back all their money to the investors. So the company will be empty. Maybe the shareholders at that time decides to find a new real estate project together.
